1) Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Luma Speak mobile applications, website, and related services (collectively, the “Service”). By creating an account, downloading, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2) Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes will be communicated in-app or by email where appropriate. Your continued use after changes become effective constitutes acceptance of the updated Terms.

3) Eligibility & Account

  • Age: You must be at least 13 years old (or the minimum age required in your region).
  • Account Info: Provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login and for all activity under your account.
  • Sign-in Providers: You may sign in using Apple or Google; their terms also apply.

4) Subscriptions, Trials & Billing

  • App-Store Billing: Subscriptions and purchases are processed by Apple App Store or Google Play. Luma does not store your full payment details.
  • Auto-Renewal: Paid plans renew automatically unless canceled at least 24 hours before the renewal date. Manage or cancel in your device’s subscription settings.
  • Trials: If you start a free trial, the subscription automatically converts to a paid plan at the trial’s end unless you cancel beforehand in your app-store settings.
  • Refunds: Refunds are handled by the relevant app store and are subject to their policies. Please request refunds through Apple or Google. Where permitted by law, fees are otherwise non-refundable.
  • Lifetime/One-time Offers: A “lifetime” or one-time purchase grants access to the then-current consumer features of Luma for as long as Luma offers the Service to consumers, subject to these Terms (features may evolve over time).
  • Price Changes: We may modify prices for new purchases. Existing subscriptions will be notified and handled per app-store rules.

5) License & Acceptable Use

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial language learning. You agree not to:

  • Reverse engineer, decompile, or copy the Service except as allowed by law.
  • Bypass or interfere with security or access controls.
  • Use the Service to harass, abuse, or harm others; to generate unlawful content; or to cheat on tests/exams.
  • Upload or transmit malware, automated scripts, or content that infringes rights or violates law.
  • Resell, rent, or exploit the Service or content for commercial purposes without written permission.

6) AI, Speech & Educational Content

  • AI Outputs: The Service uses AI to generate responses, transcripts, and feedback. Outputs may be inaccurate or incomplete. Use your judgment and verify important information.
  • Microphone Access: Real-time speech features require microphone permission. Audio may be processed by our or third-party speech/AI providers to deliver feedback.
  • No Professional Advice: The Service provides educational content only and does not constitute professional advice.

7) Your Content

  • Ownership: You retain rights to the text, audio, and other content you submit.
  • License to Luma: You grant Luma a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display your content solely to operate, improve, and provide the Service.
  • Feedback: If you provide suggestions, you grant Luma the right to use them without restriction or compensation.

8) Intellectual Property

The Service, including software, design, and content (excluding your content), is owned by Luma and its licensors and is protected by intellectual property laws. All rights not expressly granted are reserved.

9) Third-Party Services

The Service may integrate third-party services (e.g., app stores, analytics, speech/AI providers). Their terms and privacy practices apply to their services. Luma is not responsible for third-party sites or services.

10) Beta & Experimental Features

We may offer experimental or beta features that may change, break, or be removed at any time. They are provided “as is” without warranties.

11) Suspension & Termination

We may suspend or terminate access if you violate these Terms, create risk or legal exposure for Luma, or for maintenance or business reasons. Upon termination, provisions that by their nature should survive (e.g., IP, disclaimers, indemnity, limits of liability) will remain in effect.

12) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LUMA FOR THE SERVICE DURING THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

14) Indemnification

You agree to defend, indemnify, and hold harmless Luma and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

15) Governing Law; Dispute Resolution

These Terms are governed by the laws of your country of residence unless local mandatory law provides otherwise. Where permitted, disputes will be resolved in the courts of that jurisdiction. If applicable law requires alternative dispute resolution (e.g., arbitration or small-claims), such processes will apply.

16) Miscellaneous

  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms; Luma may assign as part of a merger, acquisition, or asset transfer.
  • Entire Agreement: These Terms and our Privacy Policy form the entire agreement between you and Luma regarding the Service.
